    NOTICE TO FORMER CLASS “A” SHAREHOLDERS OF
    THE SCARBORO GOLF AND COUNTRY CLUB

     

    PLEASE BE ADVISED that Scarboro Golf and Country Club, Ltd. (“Scarboro”) filed articles of continuance under the Ontario Not-for-profit Corporations Act (“ONCA”) on November 1, 2024. Accordingly, with effect as of November 1, 2024, Scarboro is now a corporation governed by ONCA, and its formal name is “Scarboro Golf & Country Club”.

    PLEASE TAKE NOTE that, as a matter of law, upon the continuance being filed, all of the shares in the capital of Scarboro were canceled. The former Class “B” shareholders, Scarboro’s principal golfing members and former voting shareholders, have all become Principal Members under the ONCA structure.  They remain the only voting class of Members of Scarboro.

    PLEASE TAKE FURTHER NOTE that, individuals who were non-voting Class “A” shareholders of Scarboro on October 31, 2024, immediately prior to the date of continuance, are entitled to become what are now known as Legacy Members of Scarboro under the ONCA structure, provided that they apply to Scarboro for admission as a Legacy Member within three (3) years of the continuance date, on or before November 1, 2027. Legacy Members of Scarboro under the ONCA structure are non-voting Members and have substantially the same rights as the former Class “A” shareholders had under the prior structure.

    PLEASE TAKE FURTHER NOTE that individuals who were Class “A” shareholders of Scarboro as of October 31, 2024 are encouraged to apply to become a Legacy Member of Scarboro.  To do so, please send an email to LegacyMemberApplication@scarborogcc.com or contact Scarboro at the address below, and you will be advised what steps and/or documents may be required to confirm that you were a Class “A” shareholder on October 31, 2024.

    It is important to note that, if a former Class “A” shareholder of Scarboro does not submit an application to become a Legacy Member on or before November 1, 2027, they will thereafter be unable to make an application and will lose any ability to become a Legacy Member of Scarboro.
